Terms of Service

Read our terms and conditions for using services.

Welcome

Welcome to VendoReel. VendoReel is operated by the VendoReel team ("we", "us"). By using our website and services, you agree to comply with and be bound by the following terms and conditions.

Acceptance of Terms

By accessing or using VendoReel, you agree to be bound by these Terms and Conditions and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our services.

Use of Service

You must be at least 13 years old to use this service. You are responsible for maintaining the confidentiality of your account and password. You agree to use the service only for lawful purposes and in accordance with these Terms.

User Content

You retain your rights in the photos, videos, and other materials you upload. You grant VendoReel a non-exclusive license to store, process, reproduce, and transform these materials, and to provide them to service providers, as needed to carry out your requests and operate the service. This includes creating presenter reference images, generating or editing videos, and delivering results to you and the people you choose to share them with. This license does not transfer ownership of your materials or another person's likeness to us. We may remove content that violates these Terms or applicable law.

Real People and Likeness Authorization

Before uploading or using a photo or video of an identifiable person, you must have the right to use the material and that person's informed permission, or another valid legal authorization, for your intended use of their likeness. This applies to presenter creation, presenter library reuse, video remake, and replacing a person in a video. A publicly available photo or video, or permission from its copyright owner alone, does not establish permission to use a person's likeness.

Your authorization must cover the uses you request, including AI processing and synthetic images or videos, any commercial or advertising use, and any sharing with organization members or publication outside the service. You are responsible for explaining these uses to the person, keeping evidence of authorization, and staying within its purpose, duration, and other limits. When using your own likeness, you authorize this processing for the uses you request. For a minor, you must obtain authorization from their parent or legal guardian and comply with applicable law. Do not upload material depicting an identifiable child under 13.

Do not use the service for unauthorized impersonation, false endorsements, fraud, harassment, or non-consensual intimate or sexual content. Review generated results before sharing or publishing them and disclose their synthetic nature where required. Generated content does not establish that a depicted person actually said, did, or endorsed anything shown.

If authorization is withdrawn or expires, stop creating, sharing, or publishing content using that likeness and remove affected materials where you control them. Contact us using the address below for assistance with material held in the service. We may ask for evidence of authorization and restrict or remove disputed content. Deleting a presenter does not by itself remove existing videos, shared links, or copies already downloaded or published elsewhere; those must be addressed separately.

Plans, Credits and Payments

Credits. Generating videos and other paid actions use credits. Current prices are listed on our pricing page, and every paid action shows its price in credits before you confirm it. Credits do not expire. They have no cash value, cannot be exchanged for money, and cannot be transferred between accounts or organizations. Credits bought for or granted to an organization belong to that organization, not to the member who paid.

Pay as you go. You can buy credits without a subscription, in the amounts offered at checkout. Purchased credits are added once the payment succeeds.

Subscriptions. A plan starts on the day you buy it and renews automatically on the same day each month, or each year for a yearly plan, until you cancel. You authorize us and our payment processor to charge the payment method on file at each renewal. Each successful payment adds the plan's full credits for that period; a yearly plan adds twelve months of credits when it is paid. Plan charges are never prorated. When you upgrade from one personal plan to a higher one, the new plan starts on the day of the upgrade at its full price, the previous plan ends at once, and credits it already added stay in your balance.

Cancellation. You can cancel a plan at any time from Billing. Cancellation takes effect at the end of the period you have paid for; until then the plan continues. Credits already in your balance remain available after the plan ends. When a plan ends, plan features stop, and storage returns to the limit of a space without a plan. Your existing content stays viewable and downloadable, but you cannot create new content while your space is over its storage limit or, for an organization, while it has no active plan. If a space remains over its limit after its plan ends, we may remove content above the limit after giving notice in the service.

Refunds. Except where required by law, payments are non-refundable, including for unused credits and for the unused part of a subscription period. If a generation fails, the credits it used are returned to your balance automatically. If you were charged in error or twice for the same purchase, contact us within 30 days of the charge and we will correct it.

Payments and taxes. Prices are in US dollars. Payments are processed by Stripe; we do not receive or store your full card details. Any taxes required by law may be added at checkout. If a renewal payment fails, the plan may become past due and paid features may be limited until the payment is completed.

Price changes. We may change prices. A change to a plan's price applies to existing subscriptions from the next renewal after we announce it in the service, and you can cancel before then. Credits you already hold keep their value.

Disputes. If you have a problem with a charge, please contact us first so we can resolve it. We may suspend paid features for an account or organization while a payment dispute or chargeback is open.

Intellectual Property

The VendoReel service, including its original content, features, and functionality, is owned by VendoReel and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. For digital content generated by users, VendoReel permanently waives all rights.

Limitation of Liability

VendoReel shall not be liable for any indirect, incidental, special, consequential or punitive damages resulting from your use of or inability to use the service.

Changes to Terms

We reserve the right to modify these terms at any time. We will always post the most current version on our site. By continuing to use the service after changes become effective, you agree to be bound by the revised terms.

Governing Law

These Terms shall be governed by and construed in accordance with applicable laws and regulations in the jurisdiction where our services are operated, without regard to conflict of law provisions.
